Yesterday the New York State legislature delivered A9969/S9047, the Not-for-Profit Corporation Law Modernization Act, to Governor Hochul and she signed the bill last night.
The N-PCL Modernization Act:
- Aligns the N-PCL with current practice by allowing Board and member decisions through electronic means previously restricted to email.
- Now allows Board vacancies to be filled for the remainder of an unexpired term.
- Clarifies that quorum is not disrupted when conflicted directors must leave a meeting.
These changes recognize the importance of governance that can be achieved through modern practice, the practical implications of filling board vacancies, and the need for organizations to move critical business in a streamlined manner. All of which help nonprofits focus on what's most important - our missions.
This legislation will now greatly give more flexibility to our members in performing their day-to-day operations.
